NCND-Fee Agreement (Copy and Paste) 11-22-2016 - 11:42 am PST

Non-Disclosure & Fee Agreement
This Non-Disclosure & Fee Agreement (hereinafter “Agreement”) is a legally binding Agreement between the parties signing, who hereby agree to the following terms and conditions:
1. Entire Agreement – This Agreement constitutes the entire agreement between the parties signing below relating to the confidentiality, commissions/fees, and other aspects of this transaction, specifically the buying and selling of real estate assets and/or notes. The parties are not relying on any previous written or oral agreements with respect to this transaction.
2. Parties to this Agreement – The parties to this Agreement are signing below. Steven Adams and Gordon Meadows are acting as Consultants.
3. Agreement Coverage & Consideration– This Agreement applies to, and is legally binding on, the parties individually, their companies, and all related affiliates and adequate legal consideration has been tendered for this Agreement. The parties have had a “meeting of the minds” regarding the terms set forth in this agreement.
4. Disputes – In the event of any dispute regarding this Agreement, the parties agree to waive their legal rights to a trial by judge or jury and agree to settle their dispute by binding arbitration. The arbitration shall be conducted by a third party arbitrator agreed upon by the parties. Venue shall be Travis County, Texas. The parties do not anticipate any disputes.
5. Notices – All notices from one party to the other must be in writing and are considered effective when mailed, hand delivered, or transmitted by email to the addresses shown below. Mailing addresses shall be exchanged by the parties after execution of this Agreement.
6. Authority – The parties agree that they have the legal authorization to execute this Agreement.
7. Confidential Information – The parties will disclose and share certain confidential and proprietary information between and among themselves, such as the identity of assets, REOs, banks, other financial institutions, sellers, buyers, consultant/broker contacts, and other related information. The parties agree to keep this information confidential, not disclose it, and not to compete with or circumvent the parties signing this Agreement with respect to this information.
8. Commissions/Fees – Per the schedule below:

11. Taxes – All parties receiving commissions/fees shall act as 1099 independent consultants and shall be responsible for paying their own federal, state, and other applicable taxes.
12. Survive Closing – This Agreement shall survive closing(s).
